Terms of Service
Please read these terms carefully before using Beava.ca Effective Date: April 12, 20251. Agreement & Operating Entity
Beava.ca (the "Platform") is owned and operated by GuardianMesh Inc., a corporation incorporated under the Canada Business Corporations Act ("GuardianMesh", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and GuardianMesh Inc. governing your access to and use of the Platform, including all related services, features, and content. By accessing or using Beava.ca, creating an account, posting a task, offering services, or completing any transaction on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Eligibility
To use the Platform, you must meet the following requirements:
- You must be at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater.
- You must have the legal capacity to enter into binding contracts.
- You must be a resident of Canada or otherwise legally authorized to engage in the activities for which you use the Platform.
- You must provide accurate, current, and complete information during registration and keep your account information up to date.
- You may maintain only one account. Duplicate or fraudulent accounts will be terminated.
3. Platform Role
Beava is an online marketplace that facilitates connections between individuals who wish to post tasks ("Task Posters") and individuals who wish to offer their services ("Helpers"). GuardianMesh is not a party to any service agreement, contract, or arrangement between Task Posters and Helpers. We do not employ, supervise, direct, or control Helpers or the manner in which services are performed. We do not guarantee the quality, safety, legality, or timeliness of any services offered or performed through the Platform. The agreement for services is solely between the Task Poster and the Helper.
4. Independent Contractor Status
IMPORTANT: THIS SECTION DEFINES THE RELATIONSHIP BETWEEN HELPERS AND GUARDIANMESH INC. PLEASE READ CAREFULLY.
Helpers who offer services through the Platform are independent contractors and are NOT employees, workers, agents, joint venturers, or partners of GuardianMesh Inc. Nothing in these Terms, in the use of the Platform, or in any interaction with GuardianMesh creates an employment relationship, agency relationship, or any other relationship between GuardianMesh and any Helper.
The independent contractor relationship is evidenced by the following:
- Helpers have full control over how, when, and where they perform services. GuardianMesh does not direct, supervise, or control the manner in which services are performed.
- Helpers set their own rates, negotiate their own terms with Task Posters, and are free to accept or decline any task at their sole discretion.
- Helpers are free to use the Platform as much or as little as they choose. There are no minimum hours, shifts, schedules, or availability requirements imposed by GuardianMesh.
- Helpers may use any tools, equipment, or materials they choose to complete tasks. GuardianMesh does not provide tools, equipment, uniforms, or materials of any kind.
- Helpers are free to offer their services through any other platform, marketplace, business, or directly to clients. There is no exclusivity requirement.
- Helpers bear the risk of profit or loss from their services. GuardianMesh does not guarantee any minimum income, volume of work, or continuity of work.
- Helpers are responsible for their own business expenses, including but not limited to transportation, tools, equipment, insurance, and any applicable licences or permits required to perform their services.
- The relationship between a Helper and GuardianMesh may be terminated by either party at any time, for any reason or no reason, without notice or cause.
Tax Obligations: As independent contractors, Helpers are solely responsible for reporting and remitting all applicable taxes on their earnings, including federal and provincial income tax and GST/HST where applicable. GuardianMesh does not withhold taxes, Canada Pension Plan (CPP) contributions, or Employment Insurance (EI) premiums from Helper earnings. GuardianMesh will not issue T4 slips to Helpers. Where required by applicable law, GuardianMesh may issue T4A information slips or other information returns.
No Employment Benefits: Helpers are not entitled to any employment benefits from GuardianMesh Inc., including but not limited to vacation pay, overtime pay, statutory holiday pay, Employment Insurance benefits, workers' compensation coverage, health or dental benefits, pension or retirement contributions, severance pay, or any other benefits associated with an employment relationship.
Acknowledgement: By creating a Helper account, offering services, or accepting any task through the Platform, you expressly acknowledge and agree that: (a) you are an independent contractor; (b) you are not an employee of GuardianMesh Inc.; (c) these Terms do not create an employment relationship; and (d) you waive any claim to employment status or employment-related benefits from GuardianMesh Inc.
Similarly, Task Posters engage Helpers as independent service providers, not as their employees. Task Posters are responsible for ensuring their engagement of Helpers complies with all applicable laws.
5. User Obligations
All users of the Platform agree to:
- Provide accurate and truthful information in your profile, task postings, and communications.
- Comply with all applicable federal, provincial, and municipal laws and regulations.
- Hold any licences, permits, certifications, or insurance required for the services you offer or request.
- Treat all users with respect and conduct yourself in a professional manner.
- Fulfil your commitments in a timely manner and communicate promptly regarding any changes.
6. Prohibited Conduct
The following activities are strictly prohibited on the Platform:
- Posting, offering, or requesting services that are illegal or that violate any applicable law or regulation.
- Circumventing the Platform's payment system to avoid fees, or encouraging other users to transact outside the Platform.
- Harassing, threatening, discriminating against, or abusing any user.
- Posting misleading, false, or fraudulent task descriptions, profiles, or reviews.
- Creating multiple accounts, impersonating another person, or using a false identity.
- Scraping, crawling, or using automated means to access the Platform without our written consent.
- Attempting to interfere with, disrupt, or compromise the Platform's security or functionality.
- Sending unsolicited messages, spam, or promotional content to other users.
7. Safety
Safety is a shared responsibility between GuardianMesh and all users of the Platform. GuardianMesh provides tools such as identity verification, community vouches, reviews, and ratings to help users make informed decisions. However, these tools are informational only and do not constitute guarantees of any user's identity, qualifications, reliability, or conduct. Users should exercise their own judgment when interacting with others, verify credentials independently where appropriate, and take reasonable precautions for their personal safety.
8. Payments
All payments for tasks performed through the Platform are processed in accordance with our Payments Policy, which is available at beava.ca/payments-policy and is incorporated by reference into these Terms. By using the Platform, you agree to the terms of the Payments Policy, including all applicable fees, refund terms, and payout procedures.
9. Intellectual Property
All intellectual property rights in the Platform, including but not limited to trademarks, logos, software, design, text, and graphics, are owned by or licensed to GuardianMesh Inc. You may not use, reproduce, or distribute any of GuardianMesh's intellectual property without our prior written consent.
You retain ownership of content you post on the Platform. By posting content, you grant GuardianMesh a non-exclusive, royalty-free, worldwide, sublicensable licence to use, display, reproduce, and distribute your content solely in connection with operating and promoting the Platform.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GUARDIANMESH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GUARDIANMESH MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, RELIABILITY, OR SUITABILITY OF ANY SERVICES OBTAINED THROUGH THE PLATFORM.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUARDIANMESH INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO GUARDIANMESH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
GUARDIANMESH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, ANY SERVICES PERFORMED OR RECEIVED THROUGH THE PLATFORM, THE ACTS OR OMISSIONS OF ANY USER, OR ANY DISPUTE BETWEEN USERS, EVEN IF GUARDIANMESH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some provinces and territories may not allow certain limitations of liability. In those jurisdictions, GuardianMesh's liability is limited to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless GuardianMesh Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) any services you perform, request, or receive through the Platform; (c) your breach of these Terms; (d) your violation of any applicable law, regulation, or third-party right; or (e) any dispute between you and another user of the Platform.
13. Account Termination
You may close your account at any time by contacting support@beava.ca or using the account settings on the Platform.
GuardianMesh may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, or conduct that is harmful to other users or the Platform.
Upon termination, your right to access and use the Platform ceases immediately. Any outstanding payment obligations, earned but unpaid Helper balances, and the provisions of these Terms relating to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.
14. Dispute Resolution
Disputes between users should first be resolved using the Platform's built-in dispute resolution process, as described in the Payments Policy. GuardianMesh may facilitate resolution but is not obligated to intervene in or adjudicate disputes between users.
Any dispute between you and GuardianMesh Inc. should first be raised by contacting legal@beava.ca. The parties agree to attempt good-faith negotiation for a period of thirty (30) days before pursuing any formal legal proceeding. If the dispute is not resolved through negotiation, either party may pursue resolution through the courts of competent jurisdiction as set out in the Governing Law section.
15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the federal laws of Canada and the laws of the Province of British Columbia, without regard to conflict-of-law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of competent jurisdiction located in the Province of British Columbia, and you consent to the personal jurisdiction of such courts.
16. Modifications to Terms
GuardianMesh reserves the right to modify these Terms at any time by posting updated Terms on the Platform and updating the effective date. We will provide notice of material changes via email or in-app notification at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.
17. Insurance
GuardianMesh does not provide insurance coverage of any kind for Helpers, Task Posters, or any services performed through the Platform. Helpers are strongly encouraged to maintain appropriate liability insurance for the services they offer. Task Posters are encouraged to verify that Helpers carry appropriate insurance where the nature of the services warrants it.
18. General Provisions
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy and Payments Policy, constitute the entire agreement between you and GuardianMesh Inc. regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, or understandings.
The following sections survive termination of these Terms or your account: Independent Contractor Status, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
GuardianMesh's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms without GuardianMesh's prior written consent. GuardianMesh may assign its rights and obligations without restriction.
